What actually changes
GIF and PNG are not the same picture in two wrappers.
GIF stores an indexed palette of at most 256 colours compressed with LZW. PNG can store the same indexed data losslessly, usually smaller, and unlike GIF it can hold full 8-bit alpha for future edits.
Worth knowing first
PNG will not restore colours GIF already threw away. A photo saved as GIF was quantised to 256 colours and dithered, and the PNG faithfully preserves that dithering pattern. The banding stays.

What happens to an animated GIF?
PNG holds a single image, so only the first frame is kept. APNG or MP4 are the formats for keeping the motion.
Does the transparency survive?
Yes, but GIF transparency is one bit, on or off. The hard, jagged edge that produced does not soften just because PNG could have stored a smooth one.
