What actually changes
AC3 and MP3 are not the same picture in two wrappers.
The AC-3 stream, often 5.1 surround, is decoded and downmixed to stereo before being encoded as MP3.
Worth knowing first
In a 5.1 mix the dialogue lives almost entirely in the centre channel. A downmix that follows the standard coefficients drops that channel by 3 dB relative to the front pair, which is exactly why converted film audio has quiet speech and loud effects.
