What actually changes
MP4 and MP3 are not the same picture in two wrappers.
The video track is discarded entirely and the audio track is re-encoded as MP3. The file typically drops to a tenth of its size, because the picture was almost all of it.
Worth knowing first
The audio inside an MP4 is normally AAC, which is already lossy, so encoding it to MP3 is a second generation of loss. If you only need the audio in a file, extracting to M4A copies the AAC stream out untouched and costs nothing.

What bitrate should I choose?
192 kbps for music, 96 to 128 for speech. Going above the source bitrate adds size and no quality.
Is there a lossless way to do this?
Extract to M4A instead. The existing AAC stream is copied rather than re-encoded.
